Terms of Service
Effective date: July 25, 2026
These terms govern your use of InvoiceReply. By creating an account or using the service, you agree to them. InvoiceReply is operated as a solo-founder business based in Greenville, South Carolina.
1. The service
InvoiceReply reads a connected email inbox to identify and classify replies to invoices, maintains a tracker of invoice status, and optionally projects that data into your existing tools (Smartsheet, Google Sheets, Excel Online, or QuickBooks). It's provided as a web application on a subscription basis.
2. Eligibility and account registration
You must be at least 18 and have the authority to connect the email inbox, spreadsheet, or accounting system you connect to InvoiceReply — for example, as the owner of that inbox or with permission from your employer to connect a work inbox. You're responsible for keeping your account credentials secure and for all activity under your account.
3. Subscriptions and billing
InvoiceReply is offered on monthly subscription plans (currently Starter, Team, and Pro — see pricing) billed in advance through Stripe. Subscriptions renew automatically each billing period until canceled. You can cancel anytime through the billing portal in your account; cancellation takes effect at the end of your current billing period, and we don't provide prorated refunds for partial periods except as described below.
3.1 Pilot pricing
Pilot program members receive discounted pricing for a limited introductory period as described at sign-up. After that period ends, your subscription continues at standard pricing for your plan unless you cancel.
3.2 Refund guarantee
Pilot members are covered by our refund guarantee: if InvoiceReply doesn't save you at least three hours per week within your first 30 days, contact us and we'll refund your pilot-period payments — no questions asked. This guarantee applies to pilot members only, during the period described at sign-up.
4. Your data
You own the data you connect to and generate in InvoiceReply. We process it as described in our Privacy Policy. You can export your data at any time, and you retain full export rights even if you cancel your subscription.
5. Acceptable use
You agree not to:
- Use InvoiceReply for any unlawful purpose or to violate any third party's rights
- Attempt to reverse engineer, decompile, or gain unauthorized access to InvoiceReply's systems
- Use automated means to access the service outside of the features we provide
- Resell or provide the service to third parties without our written agreement
- Connect an inbox, spreadsheet, or accounting system you don't have the right to connect
6. Classification accuracy
InvoiceReply uses AI to classify email replies and extract information from them. While we aim for a high standard of accuracy and continuously work to improve it, classification can be wrong — every classification includes a confidence score, low-confidence results are flagged for your review, and you can correct any classification. You're responsible for verifying important account information (like payment status or promised dates) before relying on it for business decisions.
7. Third-party services
InvoiceReply integrates with services we don't control, including Google, Microsoft, Intuit QuickBooks, and Stripe. We're not responsible for outages, changes, or issues with those services, including if they revoke or change API access in ways that affect InvoiceReply's functionality.
8. Intellectual property
InvoiceReply, its software, and its branding are our property. These terms don't grant you any rights to our intellectual property beyond what's needed to use the service as intended.
9. Disclaimer of warranties
InvoiceReply is provided "as is" and "as available," without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We don't guarantee the service will be uninterrupted, error-free, or that any specific accuracy target will always be met.
10. Limitation of liability
To the maximum extent permitted by law, InvoiceReply won't be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising from your use of the service. Our total liability for any claim relating to the service is limited to the amount you paid us in the 12 months before the claim arose.
11. Termination
You can stop using InvoiceReply and cancel your subscription at any time. We may suspend or terminate your access if you violate these terms, and we'll make reasonable efforts to notify you first except where immediate action is needed (for example, to prevent harm to the service or other users).
12. Changes to these terms
We may update these terms as the product changes. If we make material changes, we'll update the effective date above and, where required, notify you directly.
13. Governing law
These terms are governed by the laws of the State of South Carolina, without regard to conflict-of-law principles.
